On August 11, 1998, Allied Waste Industries, the fifth-largest solid-waste management company in the United States, agreed to acquire American Disposal Services Inc. in a stock deal worth about $1.1 billion. The Company began its operations in 1993 in the Midwest and at acquisition had operations in the following 12 states: Arkansas, Connecticut, Illinois, Indiana, Kansas, Kentucky, Massachusetts, Missouri, Ohio, Oklahoma, Pennsylvania and Rhode Island. The Company owned ten solid waste landfills and owns, operates or had exclusive contracts to receive waste from 21 transfer stations. The Company's operations covered six primary operating regions and its landfills and transfer stations were supported by 21 collection divisions, which served over 400,000 residential, commercial and industrial customers. The Company adopted an acquisition-based growth strategy and continued its expansion, generally in its existing and proximate markets. Since January 1993, the Company acquired 70 solid waste businesses, including eight solid waste landfills and 66 solid waste collection companies.
